These terms govern all wholesale purchases made through the Minoti B2B platform at b2b.minoti.com.

1. Definitions

"Minoti" / "we" / "us" refers to the company operating the B2B wholesale platform, with registered office at Grochowska 306/308, 03-840 Warsaw, Poland.

"Buyer" / "you" refers to the business entity registered on our B2B platform with an approved wholesale account.

"Products" refers to all children's clothing, adults' clothing (Respect line), and accessories available for wholesale purchase on our platform.

"Platform" refers to the Minoti B2B wholesale website at b2b.minoti.com.

2. Account registration

2.1. Access to the Platform is restricted to registered businesses with a valid tax ID/VAT number.

2.2. By registering, you confirm that you are authorised to act on behalf of your company and that the information provided is accurate and complete.

2.3. Minoti reserves the right to refuse, suspend, or terminate any account at its sole discretion.

2.4. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. Orders and pricing

3.1. All prices displayed on the Platform are wholesale prices in Euros (EUR), exclusive of VAT and shipping costs unless otherwise stated.

3.2. Prices are subject to change without notice. The price at the time of order placement applies.

3.3. The minimum order value is €500 (net).

3.4. An order is confirmed when you receive an order confirmation email from Minoti. We reserve the right to refuse or cancel any order due to stock availability, pricing errors, or other reasons.

3.5. VAT will be applied according to the applicable EU VAT regulations. Intra-community supplies to VAT-registered businesses in other EU member states may be zero-rated upon verification of a valid VAT number.

4. Payment

4.1. Payment is due at the time of order unless credit terms have been agreed in writing.

4.2. Credit terms (NET 30) may be offered at Minoti's discretion after an established order history.

4.3. Late payments are subject to interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.

4.4. Minoti reserves the right to withhold future deliveries if any invoices remain unpaid beyond the agreed payment terms.

5. Delivery

5.1. Delivery times are estimates only and are not guaranteed. Minoti is not liable for delays caused by carriers, customs, or force majeure events.

5.2. Risk of loss passes to the Buyer upon delivery to the carrier (FCA Warsaw, Incoterms 2020).

5.3. The Buyer is responsible for inspecting goods upon receipt and reporting any damage or discrepancies within 48 hours of delivery.

5.4. Shipping costs are as per our Shipping Policy.

6. Returns and refunds

6.1. Returns are accepted within 14 days of delivery in accordance with our Returns Policy.

6.2. Returned items must be in original condition with tags attached.

6.3. Return shipping costs are the responsibility of the Buyer except for faulty or incorrectly shipped goods.

7. Product information

7.1. We make every effort to ensure that product descriptions, images, and sizes are accurate. However, minor variations in colour, sizing, and composition may occur between batches.

7.2. All Products comply with applicable EU safety regulations including EN 14682 (cords and drawstrings) and REACH regulation.

8. Intellectual property

8.1. The Minoti brand, logo, designs, and all associated intellectual property are owned by Minoti and may not be reproduced, modified, or used without prior written consent.

8.2. The Buyer may use Minoti brand materials solely for the purpose of reselling Minoti products, subject to our brand guidelines.

9. Liability

9.1. Minoti's total liability in respect of any order shall not exceed the total value of that order.

9.2. Minoti shall not be liable for any indirect, consequential, or special damages including loss of profit, loss of business, or loss of goodwill.

9.3. Nothing in these terms excludes liability for death or personal injury caused by negligence, or for fraud.

10. Data protection

10.1. Minoti processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

11. Governing law

11.1. These terms are governed by and construed in accordance with the laws of the Republic of Poland.

11.2. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

12. Changes to these terms

12.1. Minoti reserves the right to modify these terms at any time. Changes will be published on this page with an updated "Last updated" date.

12.2. Continued use of the Platform after changes are published constitutes acceptance of the revised terms.
